What is project finance?

Project finance is the long-term financing of infrastructure, industrial and public-service projects based on the projected cash flows of the project itself rather than the balance sheets of its sponsors. Lenders take security over the project’s assets, contracts and revenues, so bankable legal documentation is essential.

Infrastructure projects involve multiple parties, jurisdictions, regulators and contracts spanning 15–30 years. Lenders protect their investment through a security package covering the project company’s shares, bank accounts, receivables, insurance proceeds and project assets, combined with direct agreements with counterparties, step-in rights, completion guarantees, political risk cover and detailed covenant packages in the loan documentation.

Risk is managed by allocating each risk — construction, operating, market, political, currency, regulatory and force majeure — to the party best able to control or absorb it, and by supplementing that allocation with insurance, guarantees, hedging, escrow arrangements and DFI political risk cover.
